1. Agreement to these terms
These terms are a binding agreement between you (and the organisation you represent, the "Customer") and Braigest. If you use the service on behalf of an organisation, you confirm you are authorised to bind it. If you do not agree, do not use the service.
2. Definitions
- "Service" — the Braigest platform, including workflows, document processing, identity verification (KYC), AML screening, business verification (KYB), e-signatures and related features.
- "Customer" — the organisation that subscribes to and configures the Service.
- "End User" / "Applicant" — a person who completes a workflow the Customer runs.
- "Customer Data" — data the Customer or its End Users submit to or generate through the Service.
- "Third-Party Services" — verification, screening, registry, AI, payment and other services provided by third parties and made available through the Service.
3. The service
Braigest provides tools to build and run onboarding and compliance workflows and to orchestrate connected checks and integrations. We may improve, change or add features over time. Some features depend on Third-Party Services and on the plan you subscribe to.
4. Eligibility & accounts
You must be able to form a binding contract and use the Service for business purposes. You are responsible for your account credentials, for activity under your account, and for keeping your contact and billing details accurate.
5. Your responsibilities
As the Customer, you control the workflows you build and the data you process. You are responsible for:
- Having a lawful basis (and any required consents) to collect, verify and screen your End Users' personal data, including biometric and special-category data.
- Configuring workflows, verification steps and screening appropriately for your regulatory obligations.
- Reviewing verification, screening and KYB results and making your own onboarding, risk and compliance decisions.
- Providing End Users with any required privacy notices and honouring their data-protection rights.
- Complying with all laws that apply to you, including anti-money-laundering, sanctions, data-protection and consumer-protection rules.
6. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Use it unlawfully, or to process data you have no right to process.
- Attempt to breach security, access other tenants' data, or probe, scan or overload the platform.
- Reverse-engineer, resell or provide the Service to third parties except as expressly permitted.
- Upload malware, or content that infringes others' rights.
- Use the Service to unlawfully discriminate against or harm End Users.
7. Third-party verification & data services
Identity verification, AML screening, KYB registry lookups, AI processing, payments and similar functions are provided by Third-Party Services (see our Privacy Policy for the current list). Those results are produced by the third parties and provided to you "as is".
Your use of Third-Party Services may also be subject to those providers' own terms, and availability may depend on them.
8. Fees, billing & taxes
Paid plans are billed through our billing provider on the cycle and at the prices shown when you subscribe. Fees are exclusive of taxes unless stated. Unless required by law or stated otherwise, fees are non-refundable. We may change pricing on renewal with reasonable notice. Late or failed payment may lead to suspension.
9. Intellectual property
Braigest and its licensors own the Service and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in your Customer Data and grant us the rights needed to provide the Service.
10. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.
11. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf as a processor, that processing is governed by our Data Processing Agreement, which forms part of these terms where applicable. You are the controller of your Customer Data and remain responsible for its lawful processing.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that verification, screening or registry results will be accurate or sufficient for your regulatory needs. Nothing in the Service is legal, compliance, financial or risk advice.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
14. Indemnification
You will indemnify Braigest against claims arising from your Customer Data, your use of the Service, or your breach of these terms or of applicable law, except to the extent caused by our own breach.
15. Suspension & termination
You may stop using the Service and cancel in line with your plan. We may suspend or terminate access if you materially breach these terms, fail to pay, or create risk to the platform or others. On termination, your right to use the Service ends; we will make Customer Data available for export and then delete or return it as described in our agreement, except where law requires retention.
16. Changes to the service and terms
We may update these terms from time to time. We will post the updated version with a new "last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them.
17. Governing law & disputes
These terms are governed by the laws of [country / jurisdiction], and the courts of [country / jurisdiction] have exclusive jurisdiction, except where mandatory local law provides otherwise.
